1. Services


RPSOFT.CO provides software development and technology services, including but not limited to:


- Custom Software Development

- Web Development

- Mobile Application Development

- Enterprise Solutions

- API Integration

- Cloud Solutions

- AI & Automation

- Online Gaming & Slot Platform Development

- Technical Consulting

- Software Maintenance & Support


The scope of work for each project shall be defined in a separate quotation, proposal, or service agreement.


2. Client Responsibilities


Clients agree to:


- Provide accurate project requirements and necessary information.

- Supply required content, assets, credentials, and approvals on time.

- Review deliverables promptly.

- Make payments according to the agreed payment schedule.


Project delays caused by missing information or delayed approvals may result in revised delivery timelines.


3. Payment Terms


Unless otherwise agreed in writing:


- A deposit may be required before project commencement.

- Remaining payments shall follow the agreed milestone schedule.

- Late payments may result in suspension of development or support services.

- All payments are non-refundable once development work has commenced unless otherwise stated in writing.


4. Intellectual Property


Ownership of the final deliverables will transfer to the client only after full payment has been received.


RPSOFT.CO retains ownership of:


- Internal frameworks

- Development tools

- Libraries

- Source components

- Proprietary technologies

- Reusable code developed independently of the client's project


Open-source components remain subject to their respective licenses.


5. Confidentiality


Both parties agree to maintain the confidentiality of all non-public business, technical, and financial information disclosed during the project.


Confidential information shall not be disclosed to third parties without prior written consent unless required by law.


6. Online Gaming & Slot Solutions


RPSOFT.CO provides software development and technical solutions for online gaming operators.


Clients are solely responsible for:


- Obtaining all necessary gaming licenses.

- Ensuring compliance with local laws and regulations.

- Operating their platforms legally within their jurisdictions.

- Managing player verification, responsible gaming, taxation, and regulatory obligations.


RPSOFT.CO does not provide legal, licensing, or regulatory approval services unless expressly agreed in writing.


7. Warranty


Unless otherwise specified:


- A limited bug-fix warranty period will be provided after project delivery.

- Warranty covers software defects directly caused by our development.

- Warranty does not cover new features, third-party changes, server issues, misuse, or modifications made by others.


8. Limitation of Liability


To the fullest extent permitted by law, RPSOFT.CO shall not be liable for:


- Indirect or consequential damages

- Loss of profits or revenue

- Business interruption

- Data loss

- Third-party service failures

- Regulatory actions affecting the client's business


Our total liability shall not exceed the amount paid by the client for the specific project giving rise to the claim.


9. Third-Party Services


Projects may integrate third-party services including payment gateways, cloud hosting, APIs, communication platforms, or other software providers.


RPSOFT.CO is not responsible for:


- Third-party outages

- Pricing changes

- Service discontinuation

- Security incidents occurring on third-party platforms


10. Support & Maintenance


Maintenance services are provided only under an active support agreement.


Support does not include:


- Major feature enhancements

- Complete redesigns

- Third-party software issues

- Infrastructure outside our management


11. Project Changes


Any request beyond the agreed project scope shall be treated as a Change Request.


Additional work may require:


- Revised quotations

- Additional development time

- New project timelines


12. Termination


Either party may terminate a project by providing written notice.


Upon termination:


- All completed work shall remain payable.

- Outstanding invoices become immediately due.

- Development may cease until outstanding balances are settled.


13. Privacy


We respect your privacy and process personal information in accordance with applicable data protection laws.


By using our services, you consent to the collection and processing of information necessary to deliver our services.


14. Governing Law


These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction agreed between RPSOFT.CO and the client.


15. Changes to These Terms


RPSOFT.CO reserves the right to update or modify these Terms & Conditions at any time without prior notice.
